By accessing or using the services provided by Advantage Payment Services (“APS,” “we,” “us,” or “our”), including our website, payment processing solutions, and related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.
2. Description of Services
APS provides payment processing, point-of-sale systems, payment gateway integration, mobile payment solutions, and e-commerce solutions for businesses. Our Services are designed to facilitate secure, compliant electronic payment transactions between merchants and their customers.
3. Eligibility
To use our Services, you must be at least 18 years of age, have the legal authority to enter into a binding agreement, and operate a lawful business. By using our Services, you represent and warrant that you meet these requirements.
4. Account Registration
You may be required to create an account to access certain features of our Services. You agree to provide accurate, complete, and current information during registration and to update such information as needed. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
5. Payment Processing
APS processes payments on your behalf in accordance with applicable card network rules and regulations. You agree to comply with all applicable laws, card brand rules, and industry standards (including PCI DSS) related to payment processing. APS reserves the right to hold, suspend, or reverse transactions that we reasonably believe to be fraudulent, unauthorized, or in violation of these Terms.
6. Fees and Billing
Fees for our Services are set forth in your Service Agreement. APS reserves the right to modify fees with prior written notice. You are responsible for all applicable taxes associated with your use of the Services. Failure to pay fees when due may result in suspension or termination of your account.
7. Prohibited Activities
You agree not to use the Services for any unlawful purpose, to process transactions for prohibited businesses or products, to engage in fraudulent or deceptive practices, to violate any applicable laws or regulations, or to interfere with or disrupt the integrity or performance of the Services.
8. Intellectual Property
All content, trademarks, logos, and intellectual property associated with the Services are owned by APS or its licensors. You may not reproduce, distribute, modify, or create derivative works from any part of our Services without prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, APS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service Agreement. Our total liability shall not exceed the fees paid by you to APS in the twelve (12) months preceding the claim, and/or as otherwise stated in the Service Agreement.
10. Indemnification
You agree to indemnify, defend, and hold harmless APS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services or violation of these Terms.
11. Termination
Either party may terminate the Service Agreement in accordance with the terms of the Agreement. APS may suspend or terminate your access to the Service Agreement immediately if we reasonably believe you have violated these Terms or applicable law. Upon termination, your right to the Service Agreement ceases immediately.
12. Changes to Terms
APS reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.
